Now taking new mandates

What is entrepreneurship through acquisition?

Entrepreneurship through acquisition means buying a company in order to run it. A search fund is one way to pay for that search and that purchase. Stanford describes the fund as investors backing an entrepreneur who will find, buy, and run a private company. ETA is the activity. The fund is a structure. Neither is a loan from Siddwell.

Where the debt fits

The purchase still has to be financed. Buyer equity, investor equity, seller financing, bank debt, and sometimes an SBA-guaranteed loan are the usual pieces, in combinations a lender will actually underwrite. The SBA states a $5 million maximum for 7(a) and says you apply with a lender. Whether a first-time CEO of a newly bought company fits a particular lender's box is that lender's question, under the SOP that applies to the loan. This site does not publish an eligibility shortcut for ETA buyers.

Owners should hear 'ETA' as a description of the buyer's plan to operate, not as a proof of funds. Ask the same things you would ask any buyer: where the equity is, what the lender has seen, and what the seller is being asked to finance. Search funds and independent sponsors both show up in this market. They are not the same, and private equity is not the same as either.

Four labels that get used as if they were one

Entrepreneurship through acquisition is the plan: buy a company and run it. A search fund, in Stanford's description, is investors backing the entrepreneur who will find, buy, and run that company. An independent sponsor finds a company and then raises equity for that deal, rather than investing capital a fund has already committed. Private equity, in the way this site uses the term, is one buyer group in a sale, often with committed capital, and Siddwell is not a private equity firm. ETA can use any of those structures. None of them is a loan, and none of them makes Siddwell the lender.

The purchase is still a stack: buyer equity, investor equity, sometimes a seller note, and debt a lender will underwrite. The SBA states a $5 million 7(a) maximum and says you apply with the lender. Whether a first-time operator fits a lender's box is that lender's question under the SOP. Owners should treat 'ETA' as a description of how the buyer plans to spend the next several years, and then ask the ordinary questions: where the equity is, what the lender has seen, and what the seller is being asked to finance.

How Siddwell handles this

Siddwell is an AI-native investment bank for privately held US companies with $1M to $100M in revenue, doing sell-side M&A and capital advisory.

Siddwell's search-fund work is selling to a searcher as one buyer among others, or financing a searcher who has already chosen a company. The search itself, before a company is chosen, is outside the mandate.
