Now taking new mandates
Search funds and ETA

Siddwell for search funds and ETA.

Entrepreneurship through acquisition means buying a company in order to run it. A search fund is one way that search is paid for. If you own the company, a searcher is a buyer in a larger market. If you are the searcher and the company is chosen, the work left is the financing.

Siddwell is an AI-native investment bank for privately held US companies with $1M to $100M in revenue, doing sell-side M&A and capital advisory.

[Definitions]

What a search fund is.

Stanford's Center for Entrepreneurial Studies describes a search fund as an investment vehicle, conceived in 1984, through which investors financially support an entrepreneur's efforts to locate, acquire, manage, and grow a privately held company. That description is on Stanford's search fund research page. A traditional search raises a small pool to fund the search itself, then raises more to buy one company. A self-funded searcher carries the search without that traditional pool. Either way, the acquisition is one company, and the searcher intends to run it.

Entrepreneurship through acquisition is the wider idea: the path into ownership is a purchase, not a startup. A search fund is one structure inside that idea. On a sale, both a traditional searcher and a self-funded searcher are buyers. They are not a separate product line, and they are not the whole buyer market.

[Selling]

What to check before you sell to a searcher.

A searcher can be the right buyer for a company this size. A searcher who never had to beat anyone else is not a process. The sell-side sale puts search funds in the room with private equity, strategic acquirers, family offices, independent sponsors, and international buyers, and takes them out together. You might be selling the whole company, selling a majority and staying, or carving out a division. Search capital shows up on all three when the company fits a single operator.

Before you treat a searcher as the buyer, check the equity. Committed capital and an indication are not the same thing. Ask who else has to approve the purchase: the searcher's investors, a board, a lender who has not been engaged yet. Ask what transition they need, who has to stay, and for how long. That is a negotiation. It is not a reason to skip the rest of the market.

Ask how the acquisition will be financed, and whether that financing is committed or still a plan. A deal that depends on a loan no lender has seen is not closed. Ask what happens if the investors do not fund. The price you compare is the price that can get to a signing, set next to the other bids, not the price in a warm conversation.

Equity

Committed capital, or only an indication.

Approval

Who besides the searcher has to say yes.

Transition

Who stays, and what the handoff requires.

Financing

Whether the debt is committed or still to be raised.

[Financing]

Financing a searcher's acquisition.

Once the company is chosen, the searcher is the client and the missing piece is the debt. That mandate is SBA and acquisition financing. The same page covers an owner buying a second company and an independent sponsor financing a deal. The lender market is a bank, an SBA lender when the acquisition fits, private credit when the price sits past those two, and a seller note beside the senior loan rather than instead of a process.

The SBA states that a 7(a) loan can be used for a change of ownership and that the maximum 7(a) loan amount is $5 million. You apply with a lender, not with the SBA. See 7(a) loans. Eligibility is the lender's reading of the rules in effect for that application, including the SOP 50 10 8.1 timing. Siddwell does not advance the loan.

If you are still searching and you want to see companies the firm is selling, you are on the other side of the table. The network starts with a call that names the company, the size, and the structure you will actually do. After that, you hear about a sale that fits. You are not browsing a list of everything in the office. Raising the small pool that funds a search before a company exists is not this mandate.

[The firm]

What Siddwell is and isn't.

Siddwell is an investment bank for privately held US companies doing about $1 million to $100 million in revenue. A banker owns the deal. Software does the volume: research, the list of buyers or lenders, first-draft materials, and document chasing. The calls, the negotiation, and the relationships stay with the banker.

Siddwell is not a lender, not a licensed loan broker, and not a business broker. Lenders fund loans. Buyers buy companies. If a direct introduction to SBA lenders is all you want, the SBA's Lender Match tool does that, and you apply with the lender.

Hire this firm to sell a company into a market that includes searchers, or to finance a company a searcher has already chosen. Do not hire it to raise the search capital that pays for looking, and do not hire it if you want a single introduction presented as a process.

What does Siddwell do for search funds and ETA?

If you own the company, Siddwell can run a sale in which a search fund is one buyer among others. If you are the searcher and a company is already chosen, Siddwell can advise on the financing. Siddwell does not fund the search itself, and it does not lend the purchase price.

What is the difference between a search fund and ETA?

ETA means buying a company and operating it. A search fund is one way to pay for that search and that purchase. Stanford describes the search fund as an investment vehicle through which investors back an entrepreneur who will find, buy, and run a private company.

I am searching. Which page is mine?

If you have a company and you need the debt raised, it is acquisition financing. If you want to be called when a company is being sold, it is the network.

Will you sell my company only to search funds?

No. Search funds are in the market. They are not the market.

Do you finance the search itself, before a company is chosen?

No. Capital advisory starts when there is a company and a use of proceeds.
